Criminal due diligence

It is quite common that criminal law risks arise in connection with the sale or acquisition of a company or business unit. This concerns not only the external relationship between seller and buyer and potential liability for fraud on the part of the seller in the case of misrepresentation, but also the internal relationship between the selling and the acquiring company.
If the purchase price is either too high or too low, embezzlement may have been committed.

Moreover, the continuation of the acquired company as a going concern also entails additional criminal law risks if certain risks have been brought about by actions (such as tax fraud or delay in filing for insolvency) taken prior to sale and purchase.
